Company law and shareholders’ agreements

The services of our firm include company-law corporate arrangements such as changing the company form, merger, demerger, and issue of shares. Such arrangements are often part of a larger whole, such as an upcoming company acquisition or generational change, in which an expert is needed to assess the juridical effects of the arrangement.

We assess the tax treatment that the corporate arrangement is going to get and, if so agreed, make sure of it beforehand by petitioning the tax authorities for a binding preliminary ruling.

We help firms and members of their management to take into account the company-law regulations and responsibility issues in corporate decision-making. We also assist firms in shareholders’ meetings and other procedures of corporate decision-making.

We draw up shareholders’ agreements (SHA) and management agreements.

We also help out in resolving disputes among the company shareholders or company leaders.
